Provider shall indemnify, defend, and hold harmless the Client from any and all claims arising out of the Services. Such indemnification obligations shall be unlimited and shall survive termination of this Agreement.
Section 9. Term and Termination
This Agreement shall remain in effect for an initial term of three years. The Provider may terminate this Agreement for convenience upon thirty days written notice. The Client may terminate only for material, uncured breach.
Section 12. Confidentiality
Each party shall protect the other party’s Confidential Information. Confidential Information means any and all information disclosed by either party, in any form, at any time.
